Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of DXSignal's engineering intelligence platform, including our website, APIs, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

User Accounts

Account Creation

To use certain features of the Service, you must register for an account. When you register, you must provide accurate and complete information. You are responsible for:

• Maintaining the security of your account and password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate and up-to-date

Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Transmit any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers

Service Plans and Billing

Subscription Plans

DXSignal offers various subscription plans, including free and paid tiers. The features available to you depend on your selected plan. We reserve the right to modify our pricing and plans at any time with reasonable notice.

Payment Terms

• Paid subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees
• You must provide current, complete, and accurate billing information
• Failure to pay may result in suspension or termination of your account

Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. No refunds will be provided for partial months or unused service, except as required by law.

Intellectual Property Rights

Our Rights

The Service and its original content, features, and functionality are owned by DXSignal and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Rights

You retain all rights to the data you submit to the Service. By submitting data, you grant us a license to use, store, process, and display your data solely for the purpose of providing the Service to you.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use and incorporate such feedback without compensation or obligation to you.

Third-Party Integrations

Our Service integrates with third-party platforms such as GitHub, Azure DevOps, GitLab, and others. Your use of these integrations is subject to:

• The terms and policies of those third-party services
• Our authorization to access data from those platforms on your behalf
• Your responsibility for maintaining proper access controls

We are not responsible for the availability, functionality, or security of third-party services. You should review the terms and privacy policies of any third-party services you connect to DXSignal.

Service Availability

We strive to provide reliable service but cannot guarantee:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• The Service will meet your specific requirements
• Any errors in the Service will be corrected

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DXSIGNAL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF DATA

No advice or information obtained from DXSignal or through the Service shall create any warranty not expressly stated in these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DXSIGNAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your data

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless DXSignal, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and data after a reasonable period
• You remain liable for all charges incurred prior to termination
• Provisions that should survive termination will continue to apply

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DXSignal operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and DXSignal regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
